Closer Circuit Terms of Service
Status: In force. These terms apply to Closer Circuit's private beta and will be amended as the service changes.

The service and private beta
Closer Circuit, LLC ("Closer Circuit," "we," or "us") provides a business workspace for sales coaching, motivation, accountability, activity tracking, recognition, and company-configured competitions. These Terms cover approved use of the website, web application, and iOS and Android applications.
Access is currently a private beta. A verified person may create one company workspace as its founding Admin, or join an existing company through an authorized invitation. Creating an account does not authorize a provider integration or access to another company's information. Beta features can change, be unavailable, or remain subject to separate testing and release gates. We do not promise that every planned feature will be delivered.
These Terms are intended to be presented for affirmative acceptance before participation under this version begins. A separately signed company agreement can supplement or supersede them for that company where it expressly says so. No paid subscription, automatic renewal, or payment obligation is created solely by this draft or by access to a preview.
Accounts and company authority
Use your own accurate identity and protect your account credentials. Do not share a member login or connect another person's provider account. Notify support of suspected unauthorized use. Participation is intended for authorized adult business users; the service is not designed for children.
A company administrator or authorized team lead may invite members and manage only the company/team scopes permitted by the service. A person accepting obligations for a company must have authority to do so. Your company is responsible for its configuration, membership decisions, workplace notices, permission to process submitted business information, and lawful use of reports and integrations. A user-created display title does not confer system authority.
Permitted use
We grant authorized users a limited permission to use available features for their company's approved business activities during authorized access. You may not:
- bypass authentication, approval, tenant, role, or integration controls; access another company's data; or misuse credentials;
- fabricate activity, appointments, attendance, or provider proof; manipulate mappings or scoring; or create misleading leaderboard results;
- use the service for unlawful calling or messaging, harassment, discrimination, surveillance, or collection of information without required authority;
- upload customer financial documents, loan/credit data, protected-class information, recordings, transcripts, or unrelated sensitive records into general support, coaching, or proof surfaces;
- send secrets, customer records, or personal calendar content in a problem report; or
- disrupt the service, scrape information beyond your permissions, or attempt unauthorized security testing. Report suspected vulnerabilities privately to support rather than exploiting them against other users.
Coaching and employment decisions
Closer Circuit helps people interpret activity and improve sales execution. It is not an automated employment-decision system. Your company must not use its scores, rankings, coaching suggestions, or other outputs as the sole basis for automated hiring, firing, discipline, promotion, compensation, or other adverse employment decisions. Use appropriate human review and context; incomplete provider data is not proof that a person did no work.
The current coaching workspace does not imply an active AI voice/chat or recorded coaching product. Any future AI or recording feature requires separate disclosure, consent where required, and feature-specific terms before activation. Do not submit prompts intended to defeat permissions or disclose protected information. Recommendations and summaries can be incomplete or inaccurate and must be reviewed before being acted on.
Integrations and calendars
Available integrations currently focus on RingCentral, member-owned Salesforce, Zoom Meetings, Google Calendar, and Microsoft 365 or Outlook.com. Availability depends on company configuration, provider permissions, licensing, and release gates. Provider outages, expired permissions, quotas, and delivery delays can affect results. A saved Connected badge does not guarantee current provider access.
Provider authorization is separate from Closer Circuit sign-in. Individual Calendar, Microsoft, Zoom, RingCentral, and Salesforce connections must belong to the member connecting them. A company administrator may approve a supported company-level provider binding, such as Salesforce, or configure a company-authorized RingCentral integration; Closer Circuit does not require company approval for a member's Zoom, Microsoft, or RingCentral connection. A company may restrict Microsoft connections to its own directory; where it has not, any directory a member signs in from is permitted. Administrators do not receive another member's provider password or permission to connect on that member's behalf.
You authorize only the actions disclosed in the connection and feature flows. Salesforce begins read-only by default; supported writes require separate activation and action. Zoom Meetings does not include Zoom Phone, recordings, transcripts, or chat. Connecting Google Calendar does not automatically publish a Zoom room to a calendar. Adding a room to Calendar requires a selection and confirmation; cancelling a linked room initiates removal of its linked managed calendar event, which can remain pending if a provider operation fails.
A Microsoft connection currently establishes permission and a stored credential only: calendar reading, event creation, and appointment scoring are not active for Microsoft in this beta, and Microsoft Teams attendance is not requested. Calendar selection is limited to calendars you own. Event creation, invitations, edits, cancellations, and guest notifications require the choices presented by the service. Closer Circuit manages only the events it is authorized to target; it is not a replacement for Google Calendar or a license to alter unrelated events.
Disconnecting stops further local use of that connection and initiates credential/private-state cleanup. It does not cancel all provider events or meetings, delete the provider account, or automatically erase historical company activity. Revoking access at the provider can require reconnection before features work again. Providers' own terms and privacy policies also govern their services.
Activity, verification, and competitions
Companies control which configured qualifying metrics count and their point weights. Official competition points require eligible provider-backed proof. A manual entry, CSV import, manager acceptance, button tap, or planned feature is not equivalent to provider verification and does not independently earn official competition credit. High Fives and Zoom company-meeting attendance do not create Circuit Points.
Automatic Calendar appointment scoring is currently disabled. When separately enabled, qualifying appointments must satisfy the published company rules, including external-attendee and eligible-type checks, deduplication, and lifecycle handling. Rescheduling the same appointment must not create another booking credit; cancellation can reverse booking credit under the configured rules. A Calendar booking or elapsed scheduled time does not prove that the appointment was held. A future Held credit requires its own valid verification source and rule.
We may flag questionable or duplicate activity, correct verification or scoring errors, and preserve an appropriate audit trail. Changes must follow the applicable permissions and disclosed rules. Do not rely on beta standings as a certified measurement of performance, revenue, entitlement to compensation, or an award. Company rewards, eligibility, and fulfillment must be agreed separately; the service does not authorize wagering or gambling.
Company information and privacy
Your company and users retain their rights in information they lawfully submit. You grant us only the permissions needed to host, process, display within authorized scopes, support, and protect that information to provide the service. This is not a sale of customer data or permission to use provider information for unrelated advertising or general-purpose AI training.
Our Privacy Policy describes the current data handling. Both pages are in force and carry their version and effective date. Google-derived information remains subject to Google's Limited Use restrictions. Do not upload information you are not authorized to provide, and follow the restrictions in the relevant feature disclosure.
Company records can survive a member's offboarding or provider disconnect. The approved standard for underlying verified-action proof is 24 months, with lawful preservation exceptions; activity summaries, account information, authority history, uploaded files, and backups have separate handling. Automatic evidence purging is not yet enabled in the beta. Contact support for an authorized company export or deletion request; available report exports are not a complete database export. Nothing in these Terms removes rights that applicable law gives an individual.
Beta availability and limitations
The beta is provided as available for evaluation. It can contain errors, interruptions, incomplete reporting, or integration limitations. Do not use it as the sole system of record for customer obligations, regulated records, appointments, employment decisions, or emergency communications. Keep required records in your approved business systems and review exports and proposed changes before relying on them.
To the extent permitted by applicable law, we do not warrant uninterrupted operation, error-free output, or any particular sales result. These Terms do not exclude non-waivable rights or liability. Any commercial liability allocation, governing law, venue, fees, or additional warranties must be finalized by counsel in the approved agreement; this draft does not impose arbitration, a class-action waiver, or an invented liability cap.
Suspension, departure, and changes
We or an authorized company administrator may restrict access when membership ends, permissions are withdrawn, security or misuse requires it, or the applicable beta/company agreement ends. Suspending access does not authorize destruction of records under a preservation obligation. Contact support to coordinate pending provider actions, authorized exports, or company deletion rather than assuming sign-out removes information.
We will identify updated versions and communicate material changes. When fresh consent or agreement is needed, it must be obtained before the changed use begins. A privacy-policy publication, account registration, company setup, or Google OAuth publishing-state change does not approve production release or expand provider permissions.
